Linkcocoon LLC (doing business as krave.social) · Website:
https://krave.social
Early access notice
krave.social is in active, early-stage development. Features are built, changed, and removed continuously, and the Service may contain bugs, errors, outages, or security issues, and may lose or change data. By using the Service you accept these risks as described in Section 3 (Early access & ongoing development), Section 12 (Disclaimers), and Section 13 (Limitation of liability). Keep your own copies of anything that matters to you.
These Terms of Service and User Agreement (collectively, the “Terms”) form a binding contract between you and Linkcocoon LLC (“Linkcocoon,” “we,” “us,” or “our”). By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms and our Privacy Policy and Legal notices, which are incorporated by reference. If you do not agree, do not use the Service. Section 15 contains a binding arbitration agreement and class action waiver that affect your legal rights.
1. Introduction & acceptance
These Terms govern access to and use of krave.social and related websites, applications, APIs, and services (collectively, the “Service”). You represent that you have the legal capacity to enter these Terms. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity, and “you” includes that entity.
2. Description of service
krave.social is a creator business card. You can publish a Krave Card with your photo, name, links, music, and what you offer; share it by link or QR code; receive inquiries; and use messaging and community features we make available. Linkcocoon LLC may modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable law. Features labeled beta, preview, or similar may be incomplete or unstable.
3. Early access & ongoing development
The Service is under active development. The entire Service, not only features labeled beta, is offered as an early-access, pre-release product that is being designed and built while you use it. You acknowledge and agree that:
- Features change. We may add, change, redesign, limit, rename, or permanently remove any feature, layout, template, integration, setting, or content type at any time, with or without notice, and we are not obligated to keep any feature available or to release any feature that has been announced, previewed, or promised.
- Errors and outages will happen. The Service may contain bugs, defects, and vulnerabilities; may display information incorrectly (including analytics, view counts, inquiry status, and notifications); and may be slow, unavailable, or interrupted for maintenance, deployments, migrations, or unplanned incidents. We do not offer any uptime commitment, service level, or support response time unless we agree to one in a separate signed writing.
- Data may be lost, changed, or reset. Development work may require us to migrate, reformat, reset, or delete data, including profiles, links, uploads, messages, inquiries, endorsements, and analytics. Data in features that are retired or rebuilt may not be carried over. You are solely responsible for keeping your own backups of any content or information you care about. We are not responsible for any loss, corruption, or unavailability of data.
- Do not rely on the Service for critical purposes. You should not rely on the Service as your only way to receive business inquiries, bookings, messages, payments, or other time-sensitive or income-producing communications, and you should not use it where failure could result in financial loss, missed opportunities, or harm.
- Plans and pricing may change. Features that are free or discounted during early access may later become paid, limited, or part of a different plan. We will give notice before charging you for anything you have not agreed to pay for.
- Testing and improvement. We may test new features, designs, or settings with some users and not others, and may use information about how the Service is used (as described in our Privacy Policy) to find and fix problems and improve the Service.
Please report bugs, security issues, or unexpected behavior to support@krave.social. Do not exploit, publicize, or share a bug or vulnerability with others before we have had a reasonable opportunity to fix it. Your use of an early-access Service is voluntary and at your own risk.
4. Eligibility & accounts
You must be at least the age of majority in your jurisdiction (and in any event not under 13 where prohibited) to use the Service. You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. We may refuse registration, suspend, or terminate accounts that violate these Terms, create risk, or for other legitimate business or legal reasons. You must notify us promptly of any unauthorized access or security breach related to your account. Usernames and public page addresses are not owned by you; we may reclaim, change, or reassign them where needed to address trademark claims, impersonation, inactivity, abuse, or changes to the Service.
5. User conduct & prohibited uses
You agree not to, and not to permit others to:
- Violate any applicable law, regulation, or third-party rights (including intellectual property, privacy, and publicity rights).
- Upload, publish, or distribute malware, unlawful content, harassing content, hate speech, or content that promotes illegal activity.
- Attempt to gain unauthorized access to the Service, other accounts, systems, or networks; probe, scan, or test vulnerability without authorization; or bypass or circumvent security or access controls.
- Scrape, crawl, harvest, bulk download, monitor, or copy the Service or its content (including user listings) except as expressly permitted in writing by Linkcocoon LLC or as required by applicable law; use robots, scripts, or automated means in a way that impairs the Service.
- Reverse engineer, decompile, disassemble, decode, or attempt to derive source code, algorithms, or trade secrets from the Service, except to the limited extent such restriction is prohibited by applicable law.
- Use the Service to build, train, or improve a competing product or service; benchmark or monitor availability or functionality for competitive purposes; or commercially exploit Service data without authorization.
- Interfere with or disrupt the integrity or performance of the Service (including by overloading infrastructure).
- Intentionally exploit a bug, error, or unintended behavior of the Service for your own benefit or to harm others.
- Misrepresent your identity or affiliation; impersonate any person or entity; or use another user’s account without permission.
6. User content & licenses
You retain ownership of content you submit, upload, or publish through the Service (“User Content”), subject to third-party rights. You represent and warrant that you have all rights necessary to grant the licenses below and that User Content does not violate law or third-party rights. You grant Linkcocoon LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable (in connection with a permitted assignment), perpetual license to host, store, reproduce, process, adapt, modify, publish, display, distribute, communicate, and otherwise use User Content solely as reasonably necessary to operate, provide, secure, improve, and promote the Service, including creating backups, derivative formats, and aggregated or de-identified analytics. You waive moral rights to the extent permitted by law. Linkcocoon LLC may remove or refuse to display User Content at any time in its discretion, subject to applicable law. We do not pre-screen User Content and are not responsible for it, but we may review, moderate, or remove it.
7. Feedback
If you send us ideas, suggestions, feature requests, bug reports, or other feedback about the Service (“Feedback”), you grant Linkcocoon LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable right to use, copy, modify, and commercialize that Feedback for any purpose without restriction, attribution, or compensation to you. Feedback is not confidential, and we have no obligation to use it or respond to it. Our use of Feedback does not give you any ownership of, or rights in, the Service or any feature, even if the feature reflects your Feedback.
8. Interactions between users
The Service is a place for creators, brands, clients, and visitors to find and contact each other. Linkcocoon LLC is not a party to, and is not responsible for, any agreement, booking, sale, collaboration, payment, endorsement, or other dealing between users or between a user and a third party, even if it started on the Service. We do not verify users’ identities, credentials, skills, reviews, endorsements, or claims, and we do not guarantee the quality, safety, legality, or outcome of any work or transaction. You are solely responsible for your interactions with other users and for doing your own diligence. To the maximum extent permitted by law, you release Linkcocoon LLC from claims, demands, and damages arising out of or connected with disputes between you and other users or third parties.
9. Intellectual property
As between you and Linkcocoon LLC, Linkcocoon LLC owns and retains all right, title, and interest in and to the Service, including all software, code, designs, templates, features, documentation, improvements, updates, and all Linkcocoon LLC trademarks, logos, trade dress, and branding (including krave.social). Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise. You may not use Linkcocoon LLC’s marks without prior written consent except as expressly permitted by these Terms. Third-party names and logos shown in the Service (for example, social and music platforms) belong to their owners and are used only to identify those services.
10. Fees & payments
Certain features may be paid. Fees, taxes, billing cycles, renewal terms, and refund rules will be presented at checkout or in-product and may be processed by third-party payment processors. You authorize us and our processors to charge your selected payment method. If you fail to pay, we may suspend paid features. We may change prices or plan contents going forward, with notice before the change applies to you. To the maximum extent permitted by law, fees are non-refundable unless expressly stated otherwise at purchase, including where a feature is changed, limited, or removed as described in Section 3.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, created risk, or must do so to comply with law, or if we discontinue the Service. Upon termination, your right to use the Service ceases and we may delete your account and User Content, subject to our Privacy Policy and applicable law; we are not obligated to keep or return it. Sections that by their nature should survive (including early access acknowledgments, Feedback, intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution) survive termination.
12. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LINKCOCOON LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN SUCH CASES, DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE THAT THE SERVICE IS AN EARLY-ACCESS, PRE-RELEASE PRODUCT UNDER ACTIVE DEVELOPMENT, AND LINKCOCOON LLC MAKES NO WARRANTY THAT ANY FEATURE WILL CONTINUE TO BE AVAILABLE OR WORK AS DESCRIBED; THAT DATA, CONTENT, MESSAGES, INQUIRIES, OR ANALYTICS WILL BE STORED, DELIVERED, OR DISPLAYED ACCURATELY OR AT ALL; THAT DEFECTS WILL BE CORRECTED; OR THAT THIRD-PARTY SERVICES, EMBEDS, OR INTEGRATIONS (INCLUDING PAYMENT, SIGN-IN, MUSIC, AND VIDEO PROVIDERS) WILL BE AVAILABLE OR FUNCTION. ANY ROADMAP, ANNOUNCEMENT, OR PREVIEW OF FUTURE FEATURES IS NOT A COMMITMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LINKCOCOON LLC OR ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, BOOKINGS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES LOSSES CAUSED BY BUGS, ERRORS, DOWNTIME, SECURITY INCIDENTS, DATA LOSS OR CORRUPTION, MISSED OR UNDELIVERED MESSAGES OR INQUIRIES, CHANGES TO OR REMOVAL OF FEATURES, THE CONDUCT OF OTHER USERS, OR THIRD-PARTY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKCOCOON LLC’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO LINKCOCOON LLC FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU PAID NOTHING DURING THAT PERIOD. THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY AND REGARDLESS OF WHETHER A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND LINKCOCOON LLC, AND THE SERVICE WOULD NOT BE OFFERED WITHOUT THEM.
14. Indemnification
You will indemnify, defend, and hold harmless Linkcocoon LLC and its affiliates, and their respective members, managers, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your dealings with other users or third parties; (d) your violation of these Terms or applicable law; or (e) your violation of third-party rights. Linkcocoon LLC may assume exclusive defense and control of any matter subject to indemnification at your expense, and you will cooperate with our defense.
15. Dispute resolution; arbitration; class action waiver
Informal resolution. Before filing a claim, you agree to contact Linkcocoon LLC at support@krave.social to attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Except for claims that may be brought in small claims court on an individual basis in your county of residence (or Maricopa County, Arizona) if eligible, any dispute, claim, or controversy arising out of or relating to the Service or these Terms (including formation, interpretation, performance, and breach) shall be determined exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules then in effect, as modified by these Terms. The seat of arbitration shall be Phoenix, Arizona. The arbitrator may award relief only on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect its intellectual property or to stop unauthorized access to or misuse of the Service.
Class action and jury trial waiver. YOU AND LINKCOCOON LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO A JURY TRIAL.
30-day opt-out. You may opt out of binding arbitration by emailing support@krave.social with the subject “Arbitration opt-out” and your name and account email within thirty (30) days after you first accept these Terms. Opting out does not affect any other part of these Terms.
Time limit for claims. To the maximum extent permitted by law, any claim arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise, it is permanently barred.
If any portion of this Section 15 is held invalid or unenforceable, that portion shall be severed and the remainder enforced to the maximum extent permitted by applicable law.
16. Governing law & venue
These Terms are governed exclusively by the laws of the State of Arizona, USA, without regard to conflict-of-laws principles that would require application of another jurisdiction’s laws. Except as otherwise provided in Section 15, you and Linkcocoon LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona for any disputes not subject to arbitration or for ancillary proceedings relating to arbitration (including enforcement of an arbitral award).
17. Export & sanctions
You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to U.S. embargo or similar restrictions, and that you are not on any restricted party list. You may not use or export the Service in violation of U.S. export laws or other applicable sanctions and export regulations.
18. Changes to these terms
Because the Service is still being built, we expect to update these Terms as features are added or changed. We may modify these Terms at any time by posting an updated version on the Service and updating the “Last updated” date. If a change is material, we will provide reasonable notice where required by law (which may include email or prominent posting). Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service. Changes will not apply retroactively to disputes that arose before the change was posted.
19. Miscellaneous
Entire agreement. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and Linkcocoon LLC regarding the Service and supersede prior agreements on the subject.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages or failures of hosting, network, or third-party service providers, cyberattacks, power failures, natural disasters, labor disputes, government actions, or pandemics.
Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Linkcocoon LLC.
Third-party beneficiaries. There are no third-party beneficiaries to these Terms except as expressly stated.
